Why Correct Signing is Crucial
Registering a company in Nepal requires strict adherence to documentation standards. A single missing signature or unclear thumbprint can lead to your application being rejected by the OCR, causing delays of weeks. Follow this guide to get it right the first time.
Step-by-Step Signing Protocol
Gather Your Documents
Ensure you have the final, approved drafts of the following:
- Memorandum of Association (MoA) – Prabandha Patra
- Articles of Association (AoA) – Niyamawali
- Application Form – Company Registration Form
- Shareholder Agreement (if applicable)
Where to Sign (Shareholders)
All shareholders/promoters must sign in two places on every single page of the MoA and AoA:
- Top of the Page: Sign clearly in the top margin.
- Bottom of the Page: Sign clearly in the bottom margin.
Note: Use blue ink for better visibility during scanning.
Thumb Impressions & Witness
On the final page (the subscriber page) of the MoA/AoA:
- Thumb Impression: Place your Right & Left thumb impressions strictly inside the designated boxes. Do not smudge the ink.
- Witness: Every shareholder needs a witness. The witness must sign at the bottom and provide their thumb impressions as well.
Scan & Submit
Once signed, do not courier the physical papers yet. You must create a high-quality digital copy.
- Scan: Use a flatbed scanner or a high-quality mobile app (like CamScanner/Adobe Scan) in “Document Mode”.
- Verify: Zoom in to ensure signatures are not blurry.
- Email: Send the PDF files to our team.
